Welcome to Festi ("we," "our," or "us"). Festi is a brand owned and operated by Suteka Inc. ("Company"). We provide a direct-to-consumer e-commerce service that allows users to create and order personalized party decor via our website, letsfesti.com (the "Site").
By accessing or using our Site and services, you agree to be bound by these Terms of Use ("Terms"). These Terms constitute a legally binding agreement between you and Suteka Inc. If you do not agree to these Terms, you must not use our services.
1. The Service & Personalization; Use of Technology
Festi provides a platform for users to customize party supplies by uploading photographs and text ("User Content"). We utilize proprietary technology to generate digital previews of these customized products.
1.1 Digital Previews and Product Representation
The previews displayed on our "Editor" interface are digital mockups generated for visualization purposes. While we employ commercially reasonable efforts to ensure accuracy, you acknowledge that the final physical product may differ slightly in color, alignment, or finish from the digital representation due to the inherent variations in digital printing on physical substrates.
1.2 Artificial Intelligence (AI) Features
By utilizing our AI-powered features (including, but not limited to, avatars and filters), you acknowledge and agree that such tools generate derivative works based on your User Content. You understand that AI generation is probabilistic and the resulting output may vary from the original source material. Festi makes no warranties regarding the exact likeness or fidelity of AI-generated content.
2. User Generated Content; Intellectual Property Rights
You retain full ownership of the User Content you upload to the Site. However, the operation of our service requires certain licenses from you.
2.1 License Grant to Company
By uploading User Content, you hereby grant Suteka Inc. (and its brand Festi) a non-exclusive, worldwide, royalty-free, fully paid-up, transferable, and sublicensable license to use, reproduce, modify, distribute, create derivative works of, and publicly display your User Content solely for the purposes of:
- Generating digital previews and mockups necessary for the functionality of the Site.
- Manufacturing, printing, and fulfilling your order.
- Providing customer support and troubleshooting services related to your order.
2.2 User Representations and Warranties
You represent and warrant that:
- You are the sole and exclusive owner of all User Content or you have all rights, licenses, consents, and releases that are necessary to grant to the Company the rights in such User Content, as contemplated under these Terms.
- Regarding Minors: If you upload a photograph or image of a minor (a child under the age of 18), you represent and warrant that you are the parent or legal guardian of such minor, or that you have obtained verifiable written consent from the minor’s parent or legal guardian to use the image for the specific purpose of creating products on Festi.
- Your User Content does not infringe, misappropriate, or violate a third party’s patent, copyright, trademark, trade secret, moral rights, or other proprietary or intellectual property rights, or rights of publicity or privacy.
2.3 Prohibited Content
You agree not to upload, post, or transmit any User Content that: (i) is illegal, offensive, pornographic, hateful, or promotes violence or illegal acts; (ii) violates any applicable local, state, national, or international law; or (iii) infringes on the rights of others. The Company reserves the right, at its sole discretion, to refuse to print any order and/or terminate your account for violations of this policy.
2.4 Indemnification
You agree to indemnify, defend, and hold harmless Suteka Inc., its officers, directors, employees, agents, licensors, and suppliers (collectively the "Service Providers") from and against all losses, expenses, damages, and costs, including reasonable attorneys' fees, resulting from any violation of these Terms or any activity related to your account (including negligent or wrongful conduct) by you or any other person accessing the Site using your Internet account. This indemnification obligation expressly includes, without limitation, claims of copyright infringement, trademark infringement, or violation of publicity rights arising from the User Content you upload.
3. Orders, Production, and Fulfillment
3.1 Nature of Goods; Custom Manufacturing
Festi operates on a "make-to-order" basis. We do not maintain an inventory of finished goods. Upon order confirmation, raw materials are processed and printed specifically to your specifications.
3.2 Order Modification Policy
Due to the automated and high-speed nature of our manufacturing process, modifications to an order (including, but not limited to, changes to design, photos, or text) are strictly limited to the first 60 minutes following order placement. After this 60-minute window, the order data is transmitted to our production queue and the design is locked. No further modifications can be made.
3.3 Shipping and Delivery
Shipping estimates provided on the Site are estimates only and do not constitute a guarantee of delivery date. While we prioritize domestic manufacturing to expedite delivery, Suteka Inc. shall not be liable for delays caused by third-party carriers (e.g., UPS, USPS), weather conditions, or other Force Majeure events. Title and risk of loss for the products pass to you upon our delivery to the carrier.
4. Returns, Refunds, and Warranty
4.1 Satisfaction Guarantee
Festi offers a quality satisfaction guarantee. If you are not satisfied with the quality of your product, you may contact us at hello@letsfesti.com within 60 days of receipt to request a refund or reprint, subject to our review.
4.2 Defective or Damaged Products
In the event that a product arrives damaged or with a material printing error attributable to the Company, we will, at our option, either (i) reprint and ship a replacement product at no additional cost, or (ii) issue a full refund for the affected product.
4.3 User Errors
The Company is not responsible for and will not offer refunds for errors contained in the User Content provided by you, including but not limited to misspellings, grammatical errors, or low-resolution images that result in poor print quality. You are solely responsible for reviewing all digital previews prior to purchase.
5. Payment Terms
We utilize third-party payment processors (e.g., Shopify Payments) to facilitate secure transactions. Suteka Inc. does not directly store full credit card numbers. By submitting an order, you agree to pay the total amount designated at checkout, including product costs, shipping fees, and applicable taxes.
6. Intellectual Property Rights of the Company
The Festi Site, including but not limited to its software, code, proprietary algorithms, instant preview technology, website design, graphics, templates, themes, and trademarks, are the exclusive property of Suteka Inc. and are protected by United States and international copyright, trademark, and other intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to access and use the Site for personal, non-commercial use only. You may not reverse engineer, decompile, or attempt to extract the source code of the Site.
7. Disclaimer of Warranties; Limitation of Liability
7.1 Disclaimer
THE SERVICE AND PRODUCTS ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE FULLEST EXTENT PERMITTED BY LAW, SUTEKA INC. DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
7.2 Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT SHALL SUTEKA INC. BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (A) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICE; (B) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICE; OR (C) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT. IN NO EVENT SHALL SUTEKA INC.'S AGGREGATE LIABILITY EXCEED THE AMOUNT YOU PAID TO THE COMPANY FOR THE APPLICABLE ORDER GIVING RISE TO THE CLAIM.
8. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions.
9. Arbitration and Class Action Waiver
PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT.
9.1 Arbitration Agreement
Any dispute, claim, or controversy arising out of or relating to these Terms or the breach, termination, enforcement, interpretation, or validity thereof, including the determination of the scope or applicability of this agreement to arbitrate, shall be determined by arbitration in Delaware before one arbitrator. The arbitration shall be administered by JAMS pursuant to its Comprehensive Arbitration Rules and Procedures. Judgment on the Award may be entered in any court having jurisdiction. This clause shall not preclude parties from seeking provisional remedies in aid of arbitration from a court of appropriate jurisdiction.
9.2 Class Action Waiver
YOU AND SUTEKA INC. AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. Further, unless both you and Suteka Inc. agree otherwise, the arbitrator may not consolidate more than one person's claims with your claims, and may not otherwise preside over any form of a representative or class proceeding.
10. Mobile & SMS Terms of Service
The Festi mobile message service (the "Service") is operated by Suteka Inc. (d/b/a Festi) ("Company", "we", or "us"). Your use of the Service constitutes your agreement to these terms and conditions ("Mobile Terms"). We may modify or cancel the Service or any of its features without notice. To the extent permitted by applicable law, we may also modify these Mobile Terms at any time and your continued use of the Service following the effective date of any such changes shall constitute your acceptance of such changes.
By consenting to Festi’s SMS/text messaging service, you agree to receive recurring SMS/text messages from and on behalf of Festi through your wireless provider to the mobile number you provided, even if your mobile number is registered on any state or federal Do Not Call list. Text messages may be sent using an automatic telephone dialing system or other technology. Service-related messages may include updates, alerts, and information (e.g., order updates, account alerts, etc.). Promotional messages may include promotions, specials, and other marketing offers (e.g., cart reminders).
You understand that you do not have to sign up for this program in order to make any purchases, and your consent is not a condition of any purchase with Festi. Your participation in this program is completely voluntary.
We do not charge for the Service, but you are responsible for all charges and fees associated with text messaging imposed by your wireless provider. Message frequency varies. Message and data rates may apply. Check your mobile plan and contact your wireless provider for details. You are solely responsible for all charges related to SMS/text messages, including charges from your wireless provider.
You may opt-out of the Service at any time. Text the single keyword command STOP to +18444937165 or click the unsubscribe link (where available) in any text message to cancel. You'll receive a one-time opt-out confirmation text message. No further messages will be sent to your mobile device, unless initiated by you. If you have subscribed to other Festi mobile message programs and wish to cancel, except where applicable law requires otherwise, you will need to opt out separately from those programs by following the instructions provided in their respective mobile terms.

We may change any short code or telephone number we use to operate the Service at any time and will notify you of these changes. You acknowledge that any messages, including any STOP or HELP requests, you send to a short code or telephone number we have changed may not be received and we will not be responsible for honoring requests made in such messages.
The wireless carriers supported by the Service are not liable for delayed or undelivered messages. You agree to provide us with a valid mobile number. If you get a new mobile number, you will need to sign up for the program with your new number.
To the extent permitted by applicable law, you agree that we will not be liable for failed, delayed, or misdirected delivery of any information sent through the Service, any errors in such information, and/or any action you may or may not take in reliance on the information or Service.
